Public Offer (Terms)
This document is a public offer by Hryhorii Fedorovskyi (sole proprietorship, Germany) (the “Licensor”) to grant the right to use the LabelPilot software. Paying for an order constitutes full and unconditional acceptance of these terms.
1. Definitions
Software — the LabelPilot suite, consisting of a server component and client labeling stations.
License — a non-exclusive right to use the Software under these terms (including the server component and commercial line operation).
Station — a workstation running the LabelPilot client.
Client demo — a freely available installer of the client (station) app for evaluation: sample data and hardware checks (scale, printer). It is not the server component and does not replace a license.
machine_id — a technical identifier of the User's server (one-way hash of an OS hardware identifier) to which the license is bound. It is not a full PC fingerprint and does not include catalog/label data.
User — the person who accepts this offer.
2. Subject
The Licensor grants the User a non-exclusive license to use the Software within the chosen plan.
The license is bound to one server by its machine_id and is valid for the agreed number of stations.
The server installer is provided only after payment of an order (and typically after machine_id binding / issuance of the .lpl file). There is no separate free “demo server” product.
3. Conclusion of the contract
The contract is concluded upon payment of an order on the site.
The User registers an account, pays, then enters their server's machine_id in the account area and receives the license file (.lpl) and access to the server installer.
4. Price and payment
Prices are shown on the site and may be presented in the User's currency. Payment is processed by Stripe.
The Licensor never receives or stores card data — it is handled by Stripe.
The Licensor applies the German small-business scheme (Kleinunternehmer, § 19 UStG): no VAT is charged or itemised on invoices, and the stated price is final.
5. Delivery
After payment, the account area provides: the license file (.lpl) (once machine_id is supplied), the server installer, and access to the client (including the client demo for stations).
The client demo may be downloadable before payment — solely for evaluation and hardware checks; it does not grant commercial-line rights and does not include server delivery.
Unless stated otherwise, the license is perpetual.
6. License, rights and restrictions
The right to commercial use of the Software (server component, central distribution of data to stations, production labeling line) is granted only with a valid license issued by the Licensor and bound to the User's server machine_id.
Use of the server component without a valid license (including copies obtained other than via the account area after payment), transfer of production data to stations, and any commercial line operation without a license are prohibited.
The client demo is solely for evaluation, sample/test data and hardware connectivity checks. It does not grant commercial use rights, does not replace a license, and is not a free server delivery.
A technical state of the server component without an activated .lpl file (the UI may show a demo/limited mode) is not a separate product and does not authorize commercial use: the server is supplied after payment and must be activated with a license.
The User shall not: transfer, lease, sublicense or resell the license or installers (including the server installer); circumvent, disable, alter or remove license-protection mechanisms; forge, alter or redistribute the license file (.lpl); use the server component on equipment whose machine_id differs from the one bound in the license; decompile, disassemble or otherwise modify the Software, except where mandatory applicable law expressly permits it.
Breach of this section is a material breach of contract and an infringement of the Licensor's exclusive (copyright) rights in the Software. The Licensor may immediately terminate the license, refuse support and updates, demand that use of the Software cease and claim damages, and pursue any other remedies available under applicable law (including German law and applicable copyright law).
The Licensor shall provide working Software within the scope of the paid license and support at h.fedorovskyi@outlook.com.
The server component (provided after payment), when Internet access is available, may send the Licensor technical data for license protection and install support: machine_id (a hash, not a full hardware fingerprint), software version, whether a license is present/valid, license_id (if any), boot/heartbeat events, .lpl activation, and commercial-use/export attempts without a license; the receiving side may record IP address and approximate country. Catalog, label and production data are not transmitted. Disable with LICENSE_TELEMETRY=0 or by running offline. Details are set out in the Privacy Policy.
7. Liability
The Software is provided “as is”. To the extent permitted by law, the Licensor's liability is limited to the amount paid for the order.
8. Term and changes
This offer is valid until withdrawn by the Licensor. Changes are published on the site and take effect upon publication.
9. Governing law and jurisdiction
This offer and all disputes relating to the Software and the license are governed by the laws of the Federal Republic of Germany, excluding conflict-of-law rules, unless mandatory law provides otherwise.
To the extent permitted by law, exclusive venue is the competent court at the Licensor's place of business (Hilden / District Court of Düsseldorf, Germany). EU consumers retain mandatory rights at their place of residence.
The Licensor may also sue at the User's place of business or at the place where the rights were infringed.
